Terms of Service
Last updated: October 27, 2026
The agreement under which TrueDue is provided to business customers.
These documents are available in German and English. If the language versions differ, the German version governs. Mandatory statutory rights remain unaffected.
1. Scope of services
TrueDue is software for businesses, for their own receivables management towards their business and private customers. It automates the customer's routine follow-up: importing receivables data, sending payment reminders from the customer's own connected mailbox and in the customer's name, reading and classifying incoming replies, and surfacing exceptions to the customer's finance team. TrueDue is a product of Neithra Technologies. The service is provided by Neithra Technologies – Fabian Lorenz exclusively to businesses (entrepreneurs within the meaning of § 14 BGB); it is not offered to consumers. We strive for high availability of the service; where possible, we announce maintenance in advance.
2. Software only — no financial, payment, collection-agency or legal services
Neithra Technologies provides TrueDue exclusively as software (software as a service). Neithra Technologies is not a credit institution or financial services institution within the meaning of the German Banking Act (Kreditwesengesetz, KWG), nor a payment institution or e-money institution within the meaning of the German Payment Services Supervision Act (Zahlungsdiensteaufsichtsgesetz, ZAG). It provides no banking, lending, factoring, payment or other financial services, holds no licence from the German Federal Financial Supervisory Authority (BaFin) and requires none for the service described here.
Neithra Technologies never receives, holds, forwards or pays out money. Payments by the customer's debtors are made exclusively to the customer's own accounts; TrueDue only processes the payment status that the customer imports.
Neithra Technologies is not a debt collection service provider (Inkassodienstleister) within the meaning of the German Legal Services Act (Rechtsdienstleistungsgesetz, RDG) and provides no debt collection service: it does not collect third-party receivables, neither for others nor by purchasing them. TrueDue is software for the customer's own receivables management. The customer collects exclusively its own receivables; the customer sends payment reminders and dunning notices in its own name, from its own mailbox. Through its approvals and settings the customer alone decides whether and what is sent, and it remains solely responsible for the content and lawfulness of every message sent through the service.
TrueDue is software and provides no legal, tax, investment or other advice; it does not replace a professional review. Content generated with AI (for example drafts of payment reminders, classifications of incoming replies, suggestions) consists of non-binding suggestions and may be inaccurate or incomplete. The customer reviews it on its own responsibility before using it; this also applies where the customer automates sending through sending rules it has configured and is responsible for itself.
For customers and readers in the United States: Neithra Technologies is not a bank, money transmitter, lender or debt collector — including within the meaning of the Fair Debt Collection Practices Act (FDCPA) — and not a consumer reporting agency within the meaning of the Fair Credit Reporting Act (FCRA). Towards debtors with an address in the United States, the service is intended solely for business-to-business commercial receivables and must not be used there to collect consumer debts, meaning obligations of natural persons incurred primarily for personal, family or household purposes.
3. Contract, term and termination
Registration alone creates no payment obligation. The customer submits an offer by explicitly placing a paid online order or accepting an individual quotation. The contract is concluded by our confirmation or provision of the ordered service. For an online order paid by card, the button on the order page only opens the payment step; the binding order is placed by confirming the payment in Stripe’s payment form, and the contract is concluded once that payment is confirmed. The confirmed order or offer, selected scope and these terms apply; individual agreements take precedence. Online subscriptions are billed monthly or annually according to the confirmed order and renew for the agreed billing period unless cancelled for the end of the current paid period. Cancellation may be submitted in the customer portal or in text form to the contact in the imprint. Individually agreed contracts follow the term and cancellation conditions in the accepted offer. Termination for good cause remains available. Higher plans and onboarding packages include only the expressly agreed services; special response times, custom integrations and availability commitments apply only if expressly agreed. Amendments to these terms require consent; silence is not consent.
4. Fees and payment
Fees follow the plan chosen in the order form or online. No setup fee is charged. The service is offered only to businesses within the meaning of section 14 of the German Civil Code (BGB), not to consumers; all prices are net. The provider’s VAT identification number is DE338072244. The fixed-price Start, Core and Scale plans can be ordered online with monthly or annual billing. Payment is made through Stripe by credit card with 3-D Secure, Apple Pay or Google Pay; this applies to every plan, including Enterprise offers. No sales conversation is required for a fixed-price plan. Enterprise is ordered through an offer with individually agreed scope and price. The currency follows the customer's country of establishment and is not converted. Businesses established in Germany pay German value added tax at the statutory rate (currently 19 %) on top, shown on the invoice. Businesses established in another member state of the European Union can order online only with a valid VAT identification number confirmed by the EU's VIES database; the liability for the tax passes to the recipient, and the invoice is issued without German VAT, bearing the note “Steuerschuldnerschaft des Leistungsempfängers” (reverse charge) and stating both VAT identification numbers (sections 3a(2) and 14a(1) UStG; Article 196 of the VAT Directive). If the number is not confirmed after the order, the contract ends and the payment is refunded in full. For businesses established outside the European Union the service is not taxable in Germany because the place of supply is outside Germany (§ 3a (2) UStG), and the invoice says so. No trial is offered. For card payments, Stripe charges the subscription in advance for each period, for the first time when the order is placed. If a payment has not been received 3 days after it was due, access to the service is suspended automatically until it has been received; the obligation to pay remains. If a card payment fails, Stripe retries it for up to two weeks; if it remains unpaid, the subscription ends. Access to the service is activated only once the payment has been received. This service is ordered for business purposes. A contract genuinely concluded by a business customer does not carry the German statutory consumer distance-selling right of withdrawal; no waiver of that right is needed. The actual purpose of the transaction is decisive. Checking a business-customer box does not remove mandatory rights. Fees and due dates follow the confirmed order or accepted offer. A subscription pays for the agreed availability of the service during the billing period. Apart from the 30-day money-back guarantee (section 4a), choosing not to use a properly provided service, or no longer needing it, does not by itself entitle you to a refund. Ordinary cancellation stops future renewals at the agreed date; it does not make properly performed earlier services free of charge retrospectively. Personal onboarding, setup or custom work is owed and charged only where its scope and any separate price were expressly agreed before ordering. Agreed work actually performed remains payable following ordinary cancellation alone. Starting setup does not fully perform an ongoing subscription. Undelivered work, defects and valid termination for cause are assessed under the contract and applicable law; these terms do not exclude all refunds. Legal remedies for non-performance, defects, unauthorised or duplicate charges and mandatory local protections remain available, including for US customers. Rights against your bank, card issuer and payment provider are not waived. You may raise concerns with the contact in the legal notice; contacting us first is not a condition for statutory rights. A chargeback alone does not finally decide the underlying contractual claim; an entitlement that has validly been refunded will not be collected again.
4a. 30-day money-back guarantee
If TrueDue is not right for you, you can ask for your money back within 30 days of your first payment: an email from the ordering account to [email protected] is enough, without a form or a reason. The guarantee covers the first payment of a customer's first order of a fixed-price plan (Start, Core or Scale). It applies only as long as no AI usage costs have been incurred on the account (for example AI-drafted messages, AI classification of customer replies or AI assistant answers within the product). Whether AI usage costs were incurred is determined from the account's AI usage record; using the free website or sales chat before the purchase does not count. Where the guarantee applies, we refund that first payment in full to the original payment method through Stripe, and the subscription ends. Statutory rights remain unaffected.
5. Customer data and responsibilities
The customer checks imported receivables data, its right to contact recipients and the sending rules it selects. Its accounting system remains the system of record; TrueDue does not change its books. Credentials and connected mailboxes must be protected against unauthorised use and suspected misuse reported promptly. Available exports provide structured business data. For other data, a complete return instruction or erasure of an account with billing history, contact us using the details in the imprint. We verify authority and coordinate termination, return and mandatory retention. Deleting a user account alone does not terminate the organisation’s contract. The customer keeps its own originals and exports according to its statutory and operational duties; our contractual backup and protection duties remain unaffected.
6. Acceptable use
The service may be used only for the lawful collection of the customer's own receivables from its business and private customers (see section 2). It must not be used to collect third-party receivables — on behalf of others, or assigned or purchased. Receivables from private persons (consumers) with an address in the United States must not be handled with the service; the software does not write to such persons. The customer states correctly whether a debtor is a company or a private person and in which country the debtor is based. The customer remains responsible for the existence, the due date and the lawfulness of its receivable, for being entitled to contact the debtor, and for informing its private customers about the processing of their data. The payment reminders generated by TrueDue claim no fees, interest or reminder costs and threaten no legal steps.
7. Data protection
Processing on the customer’s behalf is governed by the Data Processing Agreement, incorporated into the contract. The customer remains responsible for the lawfulness of its data and instructions. We use entrusted content only for the agreed service, not for our own advertising or training our own general-purpose AI models.
8. Liability
(1) We are liable without limitation for intent and gross negligence, injury to life, body or health, fraudulent concealment of a defect, under the German Product Liability Act and within an expressly assumed guarantee. Mandatory statutory liability, including data subjects’ claims under Article 82 GDPR, remains unaffected.
(2) In the event of a slightly negligent breach of a material contractual obligation, our liability is limited to the damage that was foreseeable and typical for this type of contract when the contract was concluded. Material obligations are those whose fulfilment makes the proper performance of the contract possible in the first place and on whose observance the customer may regularly rely.
(3) Otherwise, liability for slight negligence is excluded.
(4) These limitations also apply in favour of our vicarious agents and assistants.
(5) Towards businesses, liability for lost profit and other indirect damage is excluded in cases of slight negligence, unless such damage is typical for this type of contract and foreseeable.
(6) Strict liability for defects already present when the contract was concluded (§ 536a (1), first alternative, BGB) is excluded.
(7) Claims under paragraph 2 become time-barred one year after the statutory limitation period begins, unless paragraph 1 applies.
9. Governing law and place of jurisdiction
The law of the Federal Republic of Germany applies, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG). If the customer is a merchant (Kaufmann), a legal entity under public law or a special fund under public law, or has no general place of jurisdiction in Germany, the place of jurisdiction is Gummersbach, to the extent permitted by law. Mandatory statutory places of jurisdiction remain unaffected.
